CGKIT Terms of Use and Public Offer

1. General Provisions

1.1. These Terms govern the use of cgkit.pro and the features, services and digital tools provided under the CGKIT brand.

1.2. The Service is operated by Individual Entrepreneur Tatiana Aleksandrovna Matskevich, INN 660307918317, OGRNIP 325665800212361, hereinafter referred to as CGKIT, the Operator, the Provider, we, us or our.

1.3. A User is any person who visits the Website, creates an account, uses free features, purchases a subscription or credits, or uploads materials to CGKIT.

1.4. By using the Service, creating an account, uploading materials, purchasing a subscription or purchasing credits, the User confirms that they have read and accepted these Terms.

1.5. If the User acts on behalf of a company, individual entrepreneur or other organization, the User confirms that they are authorized to accept these Terms on behalf of that entity.

2. What CGKIT Is

2.1. CGKIT is a software service for 3D artists and other users that may include:

• AI-powered image generation and editing;
• AI-powered generation and processing of 3D objects and other digital materials;
• tools for working with reference materials and user files;
• storage of generated results;
• display of 3D models, images, previews and other materials;
• other features described on the Website.

2.2. The availability of certain features may depend on the selected plan, country, technical availability and current version of the Service.

User-Uploaded 3D Models

2.3. CGKIT does not acquire ownership of a User's 3D model merely because the model is uploaded to the Service.

2.4. Where 3D models submitted by independent Users are displayed on the Website, such models constitute User Content and are primarily displayed for showcase, reference and informational purposes unless expressly stated otherwise.

2.5. CGKIT is not the author of such models and does not claim exclusive rights to them.

2.6. If downloading or another form of use is available for a particular model, the scope of rights granted to the User is determined by the relevant feature, the information displayed on the model page and these Terms.

Access to a model or its preview alone does not transfer copyright, exclusive rights or ownership.

3. Accounts

3.1. Some Service features require registration.

3.2. Users must provide accurate information and are responsible for keeping their login credentials secure.

3.3. An account is intended for use by its owner unless the applicable plan expressly permits team access.

3.4. Users may not sell accounts, transfer accounts to unrelated third parties, create additional accounts to bypass restrictions, or access another person's account without authorization.

4. Subscriptions, Credits and Payments

4.1. Prices, subscription periods, included limits, credit amounts and other material conditions are displayed on the Website before payment.

4.2. A subscription provides access to CGKIT functionality within the limits of the selected plan.

4.3. Where User-uploaded 3D models are displayed on the Website, the subscription fee is payment for access to the functionality of the Service and does not constitute the purchase of exclusive rights in those models.

Credits

4.4. Certain features may consume credits or other internal units.

Automatic Renewal

4.5. A subscription may renew automatically only where the User has provided the relevant consent.

4.6. Users may disable future renewal through available account settings or by contacting support.

Refunds

4.7. Refunds are governed by the CGKIT Refund Policy and mandatory applicable law.

5. User Content

5.1. User Content includes text, prompts, images, reference materials, 3D models, textures, archives, previews, descriptions, metadata and other materials submitted to CGKIT by the User.

5.2. Rights in User Content remain with the User or the relevant rights holder.

5.3. CGKIT does not claim authorship of materials uploaded by Users.

5.4. Users are responsible for determining whether they have the right to upload the relevant material and permit its use through the Service.

6. Uploading 3D Models

User Representations and Warranties

6.1. By uploading a 3D model, image, preview or other material for publication on CGKIT, the User represents and warrants that:

• they are the author, rights holder or otherwise possess sufficient rights and permissions;
• they are authorized to grant CGKIT the license described in these Terms;
• publication and use of the material does not infringe copyrights, trademarks, design rights, publicity rights, privacy rights, trade secrets or other third-party rights;
• the material does not contain files or elements that the User is not authorized to distribute;
• information provided regarding authorship and origin of the material is accurate.

Responsibility for Rights

6.2. The User who uploads the material is responsible for obtaining all necessary rights and permissions.

6.3. CGKIT does not conduct mandatory legal rights clearance for every uploaded model and cannot guarantee in advance that every item of User Content is free from third-party rights.

6.4. CGKIT may request evidence of rights, restrict access to a material or remove it following a reasonable complaint, indications of infringement or a request from a competent authority.

7. License Granted to CGKIT

7.1. By uploading material for publication or public display on CGKIT, the User grants CGKIT a non-exclusive, royalty-free, worldwide license.

7.2. The license remains valid for as long as the material is available through the Service and for a reasonable technical period after its removal where necessary for backups and completion of technical processes.

Scope of the License

7.3. The license includes the right to:

• store and reproduce the material;
• technically process, convert and optimize the file;
• create previews, thumbnails and images of the model;
• display the material on CGKIT pages;
• publicly display and make the material available through the Service;
• use the title, description and preview for search, navigation and demonstration of CGKIT functionality;
• use previews in official informational and promotional materials relating to CGKIT;
• grant limited sublicenses to hosting providers, CDN providers, cloud providers and other technical service providers solely to the extent necessary to operate the Service;
• provide CGKIT Users with limited access to the material for viewing, previewing, evaluation and other showcase or reference purposes.

Downloading Models

7.4. If CGKIT expressly enables downloading of a model, downloading does not transfer copyright, exclusive rights or ownership of the model.

7.5. The permitted scope of further use of a downloaded model is determined by the terms expressly displayed for the relevant model or feature.

Rights of the Author

7.6. CGKIT may not represent itself as the author of an uploaded model.

7.7. Exclusive rights in the model remain with its author or relevant rights holder.

7.8. The User remains free to use, publish, sell or license their model through other platforms unless otherwise agreed separately.

8. Confidentiality of the License and Supporting Materials

Acceptance of the License

8.1. The fact that these Terms have been accepted and the fact that the license described above has been granted are not confidential information.

8.2. No separate license agreement between CGKIT and the User is required. The license is granted when the User accepts these Terms and uploads the relevant material to the Service.

Confidential Materials

8.3. Correspondence, source files, agreements, proof of authorship and other non-public documents provided to CGKIT for the purpose of verifying rights or resolving a dispute will be treated as confidential to the extent permitted by law.

8.4. CGKIT may disclose such information:

• with the consent of the relevant party;
• to employees and contractors on a need-to-know basis;
• to legal and other professional advisers;
• where necessary to protect the rights and legitimate interests of CGKIT or third parties;
• in response to a lawful request from a court or competent authority;
• to the extent reasonably necessary to review a rights-holder complaint.

8.5. Material that the User voluntarily submits for public publication on CGKIT is not confidential.

9. AI-Generated Content

9.1. Users are responsible for the legality of prompts, reference materials and other inputs submitted to the Service.

9.2. CGKIT does not claim ownership of the User's original input materials.

9.3. To the extent that CGKIT obtains transferable rights in a generated result, CGKIT permits the User to use that result to the extent allowed by applicable law and the conditions of the relevant feature.

Characteristics of AI-Generated Results

9.4. Users understand that AI-generated results:

• may not be unique;
• may resemble results generated for other Users or existing materials;
• may not qualify for copyright protection in certain jurisdictions;
• may require additional rights review before commercial use.

10. Prohibited Use

Users may not:

• violate applicable law or third-party rights;
• upload materials without the necessary rights;
• use the Service for fraud or malicious activity;
• obtain unauthorized access to accounts or infrastructure;
• bypass limits or security measures;
• use automated tools to consume Service resources at scale without authorization from CGKIT;
• distribute malicious software;
• impersonate another User, author or CGKIT representative.

11. Fair Use

CGKIT may apply reasonable technical limits to generations, downloads, requests, devices, sessions and other resources.

Where automated or anomalous activity is detected, CGKIT may apply rate limits, additional verification, temporary feature restrictions or account suspension.

12. Intellectual Property Complaints

If a person believes that material displayed on CGKIT infringes their intellectual property rights, they may contact:

Information to Include

Where possible, the complaint should include:

• information identifying the claimant;
• contact details;
• identification of the right claimed;
• a link to the disputed material;
• a description of the alleged infringement;
• supporting documents or links.

Review of Complaints

CGKIT may temporarily restrict access to disputed material while reviewing a complaint.

Where sufficient grounds exist, the material may be removed or access to it may be restricted.

13. Liability

Users are responsible for their own actions and the content they upload.

CGKIT is liable to the extent required by applicable law.

Nothing in these Terms limits mandatory consumer rights that cannot legally be waived.

14. Personal Data

Personal data is processed in accordance with the CGKIT Privacy Policy.

15. Changes to These Terms

CGKIT may update these Terms where the Service, technology, law or business processes change.

The current version is published on cgkit.pro.

16. Governing Law

These Terms are governed by the laws of the Russian Federation, except where mandatory rules in the User's country of residence provide otherwise.
